Terms of Service

1. Acceptance of Terms

By accessing or using the UAE Loyalty platform (the "Service"), operated by HnK Technologies LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. This agreement applies to business owners utilizing the platform to issue loyalty cards ("Merchants") and individuals saving these cards to their devices ("End-Customers"). If you do not agree to these terms, you may not use the Service.

2. Description of Service

UAE Loyalty provides a Software-as-a-Service (SaaS) platform that enables Merchants to create, distribute, and manage digital loyalty programs. The Service integrates with third-party digital wallets, specifically Apple Wallet and Google Pay, to allow End-Customers to store and track their loyalty points digitally.

3. Merchant Obligations & Responsibilities

If you are a Merchant using UAE Loyalty, you agree to the following:

• Fulfillment of Rewards: HnK Technologies LLC provides only the technological infrastructure. You are solely legally and financially responsible for honoring the loyalty points, free items, or discounts promised to your End-Customers.
• Authorized Use: You will not use the Service to distribute fraudulent passes, spam, or misleading promotional materials.
• Staff Management: You are responsible for managing your staff (sellers/employees) access to the scanner terminal. We are not liable for unauthorized points issued by your employees.

4. End-Customer Acknowledgements

If you are an End-Customer participating in a Merchant's loyalty program via our Service:

• You acknowledge that HnK Technologies LLC is not the provider of the goods or services you are purchasing.
• We do not guarantee that a Merchant will remain in business or honor their accumulated loyalty points. Any dispute regarding unfulfilled rewards must be resolved directly with the applicable Merchant.
• You are responsible for securing your mobile device. If your device is lost or compromised, we are not responsible for lost loyalty points.

5. Third-Party Platforms (Apple & Google)

The Service relies on the Apple Wallet (Apple Inc.) and Google Wallet (Google LLC) ecosystems. By using the Service, you acknowledge that:

• We do not control these third-party platforms. Your use of their wallets is subject to their respective Terms and Conditions.
• HnK Technologies LLC is not liable for any Service interruption, loss of passes, or failure to update points caused by Apple or Google API outages, policy changes, or device OS restrictions.

6. Intellectual Property

All software, design, code, and architecture of the UAE Loyalty platform remain the exclusive property of HnK Technologies LLC. Merchants retain all intellectual property rights to their respective brand names, logos, and trademarks uploaded to the platform.

7. Limitation of Liability and "As-Is" Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by UAE law, HnK Technologies LLC disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

In no event shall HnK Technologies LLC, its directors, or employees be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from your use of the Service or a Merchant's failure to honor a loyalty program.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.
